TERMS OF SERVICE
WTS DSGN STDIO
These Terms of Service (“Terms”) govern all
projects, purchases, and engagements with
WellThenSo Design Studio (“WTS”), its sister brands (HAZO and ZAI Studio),
and
their associated services. By working with us or using our website, you agree to these
Terms.
01. PROJECT SCOPE
- The agreed project scope, deliverables,
and
timelines are detailed in the signed
contract.
- Any additional work or variations
requested
by the client outside the agreed
scope will be billed separately.
- Liaisoning with government authorities,
statutory approvals, and external
clearances are not included in our scope unless explicitly mentioned.
02. DESIGN OWNERSHIP & INTELLECTUAL PROPERTY
- All designs, drawings, 3D renders,
concepts,
and creative material prepared by
WTS remain the intellectual property of WTS until full project payments are
completed./li>
- Clients are granted usage rights of the
designs only for the specific project
commissioned.
- Replication, resale, or sharing of our
designs with third parties without consent
is strictly prohibited.
03. PAYMENTS
- Payments must be made according to the
milestones outlined in the contract.
- All payments are non-refundable.
- Delay in payments may result in revised
timelines, suspension of work, or
termination of the project.
- Payment-related details and
clarifications
are handled only via
accounts@wellthenso.com.
04. PROJECT TIMELINES
- Timelines shared are estimates and depend
on
approvals, timely payments, site
readiness, and vendor/supplier performance.
- Delays caused by third parties (vendors,
suppliers, contractors, government
authorities, natural events) are beyond WTS's responsibility.
- In case of delays from the client (e.g.,
late
approvals, pending payments),
revised timelines will be issued.
05. COMMUNICATION
- All official communication must be
conducted
via email:
- accounts@wellthenso.com
for
payments and contracts
- projects@wellthenso.com
for
project updates and coordination
- WhatsApp or phone calls may be used for
quick
updates only, but are not
considered valid approvals.
06. TERMINATION
- WTS reserves the right to suspend or
terminate the project if:
- Payments are delayed or withheld beyond
agreed terms
- Clients engage third-party vendors
without
prior approval, impacting quality
or scope
- There is misuse of intellectual property
or
breach of contract
- Upon termination, all work completed
remains
the intellectual property of WTS
until dues are cleared.
07. PORTFOLIO RIGHTS
- WTS retains the right to photograph,
document, and publish completed projects
(including before-and-after visuals) for portfolio, website, and marketing
purposes
- Client names or personal information will
not
be disclosed without consent
08.LIABILITY
- WTS is responsible for design,
supervision,
and execution as per contract.
- We are not liable for delays or damages
arising from third-party suppliers,
contractors, natural calamities, or unforeseen circumstances beyond our control.
- Any warranty on products or fixtures lies
with the original manufacturer/vendor.
09 CONFIDENTIALITY
- All client information, documents, and
discussions remain confidential.
- Similarly, WTS's proprietary processes,
designs, and vendor networks are
confidential and cannot be disclosed or shared without permission.
10. GOVERNING LAW
- These Terms, and any disputes arising
from
them, are governed by the laws of India,
with jurisdiction in Goa.
